End user license agreement.

The terms governing Lighthouse's internal applications, including the QuickBooks Online financial reporting agent. These tools are built for Lighthouse staff and board, and are not offered to the public.

This agreement covers internal Lighthouse software, not the public website. If you are a visitor, applicant, or donor, the document you want is the privacy policy.

1. Agreement and acceptance

This End User License Agreement (the “Agreement”) is between Lighthouse Nonprofit Technologies Inc., a California nonprofit public benefit corporation exempt under section 501(c)(3) of the Internal Revenue Code, EIN 33-1494111(“Lighthouse”, “we”, “us”), and each individual authorized by Lighthouse to use the Software described below (“you”, an “Authorized User”).

By installing, accessing, connecting, or using the Software, you accept this Agreement. If you do not accept it, do not use the Software.

2. Definitions

  • “Software”means Lighthouse’s internal business applications, including the automated financial reporting agent that connects to Intuit QuickBooks Online, together with its configuration, prompts, models, outputs, and documentation.
  • “QuickBooks” means the Intuit QuickBooks Online service.
  • “Company File” means the single QuickBooks Online company belonging to Lighthouse.
  • “Financial Data” means accounting data read from the Company File and any report, analysis, or working paper derived from it.
  • “Output” means material the Software generates, including profit and loss statements, balance sheets, budget versus actual comparisons, functional expense allocations, narrative analysis, and summaries.

3. Internal use only. This is not a public product.

The Software is built for Lighthouse’s own operations and is not offered, sold, licensed, or distributed to the public. It is not a commercial product, there is no subscription to it, and no third party may obtain a license to it.

The Software connects to exactly one Company File: Lighthouse’s own. It is not connected to, and must not be connected to, the QuickBooks company of any client, grantee, donor, partner, or other organization. Lighthouse does not process any third party’s accounting data through the Software.

4. License grant

Subject to this Agreement, Lighthouse grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely to perform your duties for Lighthouse. This license is personal to you, is tied to your role, and confers no ownership of any kind.

5. Restrictions

You will not:

  • Use the Software for anything other than Lighthouse business, and never for personal, commercial, or outside-organization purposes.
  • Connect the Software to any QuickBooks company other than the Company File.
  • Copy, distribute, sell, sublicense, rent, or otherwise make the Software or its credentials available to anyone outside Lighthouse.
  • Share your account, your credentials, or your session with another person, including another Lighthouse employee.
  • Export, forward, or store Financial Data or Output outside Lighthouse-approved systems, including personal email, personal cloud storage, and personal devices.
  • Paste Financial Data into any AI tool, chat service, or third-party application that Lighthouse has not approved for that purpose.
  • Reverse engineer, decompile, or attempt to derive source code, except where that restriction is unenforceable by law.
  • Circumvent access controls, audit logging, or rate limits, or use the Software in a way that breaches Intuit’s terms or API limits.

6. QuickBooks and Intuit

The Software connects to QuickBooks using Intuit’s OAuth 2.0 authorization. Your use of QuickBooks itself is governed by your agreement with Intuit, not by this Agreement.

  • Intuit is not a party to this Agreement. Intuit does not sponsor, endorse, warrant, or support the Software, and has no obligation or liability with respect to it.
  • Read access.The Software reads accounting data and generates reports. It does not create, modify, or delete transactions in QuickBooks. QuickBooks remains Lighthouse’s system of record, and where Output disagrees with QuickBooks, QuickBooks governs.
  • Disconnection. An authorized administrator may disconnect the Software at any time from within QuickBooks, under Apps. On disconnection, tokens are revoked and cached Financial Data is deleted as described in the privacy policy. See the disconnect page.
  • Credentials. Intuit client credentials and OAuth tokens are Lighthouse confidential information. You will not copy, move, or expose them, and you will not embed them in any client-side code.

7. AI generated output. Not professional advice.

The Software is an AI agent. Its Output is a draft prepared by an automated system, and it can be wrong. Read this section carefully, because a nonprofit’s financial reporting carries real legal consequences.

  • Output may contain errors, omissions, miscategorized transactions, incorrect period boundaries, incorrect functional expense allocations, or confidently stated figures that are simply wrong.
  • Output is not an audited or reviewed financial statement, is not prepared under any attestation standard, and is not a substitute for a CPA, an auditor, a bookkeeper, or a qualified Form 990 preparer.
  • Output is not accounting, tax, legal, or investment advice.

Human review is mandatory

No Output may be filed with the IRS or any state regulator, submitted to a funder or grantor, presented to the Board as a final financial statement, published, or relied upon for a financial or contractual decision until a qualified person has reviewed it against the source records in QuickBooks and approved it. The reviewer, not the Software, is accountable for what is filed or presented.

You are responsible for the accuracy of anything you forward, sign, or present that was generated by the Software.

8. Confidentiality

Financial Data and Output are confidential information of Lighthouse. You will protect them with at least the care you would use for your own sensitive financial records, and you will disclose them only to people inside Lighthouse who need them for their duties, or as required by law.

This duty survives the end of your access, your employment, or your engagement. Financial Data may include personal information about third parties, such as contractors and donors, which is additionally protected under our privacy policy.

9. Authorized user responsibilities

  • Keep your credentials secret, use multi-factor authentication where offered, and use a device that is up to date and access-controlled.
  • Report any suspected compromise, unexpected data exposure, or anomalous Output to the Executive Director immediately.
  • Do not retain Financial Data after your role ends. Return or destroy local copies.
  • Comply with Lighthouse’s conflict of interest policy, document retention policy, and any other board-adopted policy that applies to your role.

10. Nonprofit governance and charitable purpose

Lighthouse is a 501(c)(3) public charity. The Software exists to serve that exempt purpose, and its use is bounded by the rules that come with it.

  • No private benefit or inurement. The Software and its Output may not be used for the private benefit of any officer, director, employee, contractor, or insider, or for any outside business.
  • No political campaign activity. The Software may not be used to support or oppose any candidate for public office. Any lobbying-related use must stay within the limits permitted for a 501(c)(3) organization and must be approved in advance.
  • Board and Treasurer oversight.The Board of Directors, through the Treasurer as the corporation’s chief financial officer, retains oversight of Lighthouse’s financial records and internal controls. The Software supports that oversight and does not replace it, and it does not substitute for the separation between recording transactions and reviewing them. The Board may restrict, audit, or terminate its use at any time.
  • The corporate record.Output that is presented to the Board and accepted becomes part of Lighthouse’s permanent governance record, and is retained accordingly.
  • Statutory reporting. Nothing in the Software relieves Lighthouse of its obligation to file an accurate Form 990, maintain accurate books and records, and meet its California charitable registration and reporting duties.

11. Data and privacy

Lighthouse’s handling of Financial Data, including what the integration reads, how OAuth tokens are stored, how AI processing works, and what happens on disconnection, is described in our privacy policy, which is incorporated into this Agreement by reference.

12. Ownership

Lighthouse owns the Software, all Financial Data, and all Output, including anything you generate with the Software in the course of your duties. Third-party components remain the property of their owners and are used under their own licenses. This Agreement grants you a license to use, and nothing more.

13. Disclaimer of warranties

THE SOFTWARE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. LIGHTHOUSE DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGHTHOUSE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR ITS OUTPUT. NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW. This section does not affect any indemnification Lighthouse owes its officers and directors under its bylaws or California law.

15. Term, suspension, and termination

This Agreement runs from your first use of the Software until your access ends. Lighthouse may suspend or terminate your access at any time, with or without notice, including automatically when your employment, contract, or board service ends.

On termination you must stop using the Software and return or destroy all Financial Data and Output in your possession. Sections on confidentiality, ownership, disclaimers, limitation of liability, and governing law survive.

16. Governing law

This Agreement is governed by the laws of the State of California, without regard to its conflict of laws rules. The state and federal courts located in San Luis Obispo County, California have exclusive jurisdiction over any dispute arising from it.

17. Changes to this agreement

Lighthouse may update this Agreement. We will move the last updated date at the top, and material changes will be communicated to Authorized Users directly. Continued use after a change means you accept it.
